Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Shaanxi Wuningtan Network Technology Co., Ltd. ("Company", "we", "us", or "our") concerning your access to and use of the www.wuningtan.buzz website and any related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

Description of Services

Wuningtan Network provides professional technology services including but not limited to:

• Custom software development and programming
• Web and mobile application development
• System integration and IT consulting
• Cloud solutions and infrastructure services
• Technical support and maintenance
• Design services and user experience consulting

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable law or regulation
• Engage in any conduct that restricts or inhibits anyone's use of the Services
• Attempt to gain unauthorized access to any part of the Services
• Use the Services to transmit any malicious code or harmful content
• Impersonate or attempt to impersonate the Company or any other person

Intellectual Property Rights

The Services and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by the Company, its licensors, or other providers and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services without our prior written consent.

Project Terms

For custom development projects, the following terms apply:

• All project specifications, timelines, and deliverables will be defined in a separate project agreement
• Payment terms will be specified in the project agreement
• Intellectual property rights for custom work will be transferred upon full payment unless otherwise agreed
• Changes to project scope may result in additional charges and timeline adjustments
• Client is responsible for providing accurate requirements and timely feedback

Payment Terms

The following payment terms apply to our services:

• All fees are quoted in Chinese Yuan (CNY) unless otherwise specified
• Payment schedules will be outlined in individual project agreements
• Late payments may incur additional charges as specified in the agreement
• We reserve the right to suspend services for overdue accounts
• Refund policies are determined on a case-by-case basis

Warranty and Disclaimer

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However, we do not guarantee that our services will be uninterrupted, error-free, or completely secure.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising out of or relating to these Terms or the Services shall not exceed the amount paid by you to us during the twelve (12) months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship.

This obligation shall survive the termination of these Terms and any project agreements for a period of three (3) years.

Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be submitted to the jurisdiction of the courts in Xi'an, Shaanxi Province.

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
